Terms of Service

These Terms explain how Clique works for creators and brands, including accounts, campaigns, content rights, escrow payments, and what happens if something goes wrong.

Section 1

Acceptance of these terms

These Terms of Service (“Terms”) govern access to and use of the Clique website, mobile applications, and web application (together, the “Service”), operated by Clique (“Clique,” “we,” “us,” or “our”). By creating an account, browsing campaigns, pitching, funding a campaign, or otherwise using the Service, you agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference.

If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, in which case “you” refers to that entity.

This document is a working draft intended for real use once reviewed by qualified legal counsel. Placeholders such as the governing jurisdiction in the “Governing law” section below should be finalized by Clique’s legal team before this document is treated as final.

Section 2

Eligibility and accounts

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create an account. By registering, you represent that all information you provide is accurate and that you will keep it up to date.

  • You are responsible for safeguarding your account credentials and for all activity under your account.
  • You must notify us promptly at legal@cliquehub.co if you suspect unauthorized use of your account.
  • Creator accounts and brand accounts have different permissions and workflows in the Service; you may only represent yourself as a creator or a brand if that is accurate.
  • We may suspend or terminate accounts that provide false verification information.

Section 3

How creators and brands use Clique

Clique connects creators with brands for content and campaign partnerships. Depending on your account type, the Service lets you do some or all of the following: build a public creator profile, browse or publish campaign briefs, submit or review pitches, negotiate campaign terms, message the other party within a campaign, sign campaign contracts, fund and release payments through escrow, and view campaign and account activity.

Clique is a platform that facilitates these interactions. Unless we say otherwise in writing, Clique is not a party to the underlying agreement between a creator and a brand for a specific campaign — that agreement is between the creator and the brand, subject to whatever campaign-specific terms they agree to inside the Service.

Section 4

Content, ownership, and licensing

Your content.You retain ownership of the profile information, pitches, messages, and creative content you upload or deliver through the Service (“User Content”). You are solely responsible for your User Content and for having the rights necessary to post it and, where applicable, to deliver it to a brand under a campaign.

License to Clique. By submitting User Content, you grant Clique a non-exclusive, worldwide, royalty-free license to host, store, reproduce, and display that content solely as needed to operate, secure, and improve the Service (for example, displaying a creator profile or a campaign brief to the relevant counterparty).

Campaign deliverable licensing. When a creator delivers content as part of a funded campaign, the specific usage rights granted to the brand (such as how and where the brand may use the delivered content, and for how long) are governed by the terms agreed to within that campaign. Clique does not automatically transfer ownership of creative work from a creator to a brand; any transfer or license of usage rights must be agreed as part of the campaign terms.

Section 5

Payments, escrow, and fees

Payments on Clique are processed by a third-party payment processor (currently Stripe). Clique does not store your full payment card or bank account numbers; that information is handled directly by our payment processor under its own terms and privacy practices.

  • When a brand funds a campaign, funds are held in escrow rather than paid directly to the creator.
  • Escrowed funds are released to the creator once the applicable campaign approval step is completed according to the campaign’s agreed terms.
  • Clique deducts a platform fee, calculated as a percentage of the funded campaign amount, before the remaining balance is paid out to the creator. The current fee rate is shown in the Service before a brand funds a campaign and before a creator accepts a payout. See our Pricing page for more detail on how this works.
  • You are responsible for any taxes associated with amounts you pay or receive through the Service.

We may change fee rates going forward; changes will not apply retroactively to campaigns that were already funded.

Section 6

Prohibited conduct

You agree not to:

  • Misrepresent your identity, audience, follower counts, or campaign deliverables.
  • Use the Service to circumvent agreed campaign terms or to solicit payment outside of escrow for a campaign initiated on Clique.
  • Upload content that is unlawful, infringing, defamatory, or that violates a third party’s rights.
  • Attempt to interfere with, disrupt, reverse engineer, or gain unauthorized access to the Service.
  • Use the Service to send spam, harass another user, or scrape data at scale without our written permission.

We may investigate suspected violations and take action, including content removal, campaign cancellation, or account suspension or termination.

Section 7

Suspension and termination

You may stop using the Service and close your account at any time. We may suspend or terminate your access to the Service if you violate these Terms, if required by law, or if we reasonably believe your account poses a risk to Clique, other users, or the integrity of the Service.

Termination does not relieve either party of obligations that accrued before termination, including completing or resolving campaigns that were already funded or in progress, and any payment obligations tied to those campaigns.

Section 8

Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that campaigns will be funded, that creators will be selected, or that any particular outcome will result from using the Service.

Section 9

Limitation of liability

To the maximum extent permitted by law, Clique will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues, arising from or related to your use of the Service. Clique’s total liability for any claim relating to the Service will not exceed the greater of the platform fees you paid to Clique in the twelve months before the claim, or one hundred U.S. dollars.

Section 10

Indemnification

You agree to defend, indemnify, and hold Clique harmless from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms or of any third party’s rights.

Section 11

Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which Clique is incorporated, without regard to conflict-of-laws principles. [This jurisdiction should be finalized by Clique’s legal team once the operating entity is established, along with a corresponding venue or arbitration clause.] Nothing in this section limits either party’s right to seek relief available under applicable consumer-protection law.

Section 12

Changes to these terms

We may update these Terms from time to time. If we make material changes, we will provide notice (for example, by updating the “Last updated” date above or by notifying you in the Service). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
